Effective Date: September 2026
These Terms of Service (“Terms”) govern your use of the Desso Supply Chain website and the services provided by Desso Supply Chain (“Desso,” “we,” “us,” or “our”).
Specific client engagements are also governed by the applicable proposal, statement of work, service agreement, or other written agreement between Desso and the client. If there is a conflict between these Terms and a signed client agreement, the signed agreement will control for that engagement.
Our Services
Desso provides supply chain operations, infrastructure, leadership, and related services as an extension of our clients’ businesses.
Depending on the engagement, services may include logistics, warehousing, inventory management, order processing, fulfillment, exception management, returns, purchase order administration, imports and exports, performance management, and supply chain strategy.
Procurement, including supplier sourcing, commercial negotiations, and purchasing decisions, is not a core Desso service unless specifically agreed otherwise in writing.
The scope, responsibilities, deliverables, service levels, and pricing for each engagement are defined in the applicable client agreement.
How We Engage
Desso may support clients through individual capabilities, management of full day-to-day supply chain operations, or an outsourced supply chain department.
Engagements typically begin with a conversation to understand the client’s operation, needs, and challenges and to determine if and how Desso can add value.
Clients are responsible for providing timely and accurate information, reasonable access to relevant systems and data, required approvals, and appropriate points of contact necessary for Desso to perform the agreed services.
Third-Party Providers
Desso may coordinate with warehouses, 3PLs, carriers, freight forwarders, customs brokers, technology providers, and other third parties as part of delivering our services.
Unless expressly agreed otherwise in writing, these third parties remain responsible for their own services, personnel, systems, performance, and obligations.
Desso is not itself a freight carrier, warehouse operator, customs broker, freight forwarder, manufacturer, importer or exporter of record, or supplier of goods unless specifically stated in a written agreement.
Fees and Billing
Fees and payment terms are established in the applicable proposal, statement of work, or service agreement.
Services may be billed through monthly fees, volume-based pricing, project fees, or another agreed pricing structure depending on the nature and complexity of the engagement.
Additional services, expanded scope, special projects, additional locations, extended-hours support, or other requirements outside the agreed scope may be subject to additional fees.
Confidentiality and Client Data
Desso understands that its work may involve access to sensitive and non-public business and operational information.
We treat client information as confidential and use it only for legitimate purposes related to evaluating, delivering, administering, or supporting the agreed services.
Each party retains ownership of its own information, data, intellectual property, and confidential materials. Nothing in these Terms transfers ownership of client data to Desso.
Additional confidentiality obligations may be established through a separate nondisclosure agreement or client agreement.
Our handling of personal information is also governed by our Privacy Policy.
Client Responsibilities
Unless otherwise agreed in writing, clients remain responsible for decisions relating to their products, suppliers, purchasing authorization, product specifications, regulatory requirements, and other matters outside Desso’s agreed scope.
Desso may rely on information, forecasts, approvals, instructions, and data provided by the client or its authorized representatives.
Clients are responsible for ensuring that information provided to Desso is reasonably accurate and that they have the authority to provide it.
Performance and Results
Desso works to improve supply chain execution, visibility, efficiency, scalability, and operational performance.
Supply chain results may also depend on factors outside Desso’s reasonable control, including supplier performance, transportation conditions, inventory availability, customer demand, customs activity, labor conditions, third-party systems, economic conditions, and client decisions.
Accordingly, Desso does not guarantee specific financial or operational outcomes unless expressly stated in a written client agreement.
Limitation of Liability
To the fullest extent permitted by applicable law, Desso will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the services or use of our website.
Unless otherwise stated in a signed client agreement, Desso’s aggregate liability arising from a particular engagement will not exceed the fees paid to Desso for the services giving rise to the claim.
These limitations do not apply where liability cannot legally be limited or excluded.
Website Use
Information on this website is provided to describe Desso’s capabilities, services, and approach and does not constitute a binding offer or guarantee.
Website content, including Desso’s name, branding, graphics, copy, designs, and other materials, may not be reproduced or commercially used without permission except as permitted by law.
Submitting a website form, contacting Desso, or participating in an initial conversation does not create a client relationship or obligate either party to enter into an engagement.

We may update these Terms from time to time as our services, business practices, or legal requirements change.
